AUSTIN, Texas - April 26, 2002 - Cirrus Logic (Nasdaq: CRUS) today announced that Steven D. Overly has been named senior vice president and chief financial officer, reporting to David D. French, president and CEO. Overly has been acting CFO since October 2001.

In addition to his duties as the company's chief financial officer, Overly will remain the company's general counsel and will continue to oversee Human Resources.

"Steve is a valued member of our executive management team, and we are pleased to acknowledge his financial management leadership by naming him our CFO," said French. "We will continue to rely on Steve's expertise and business acumen to help us guide Cirrus in our next phase of growth."

Overly joined Cirrus Logic from International Wireless Communications Holdings Corp, where he was president and CEO. Prior to that he was vice president and general counsel at Lockheed Martin Telecommunications and division general counsel at General Electric Astro Space. In these positions he gained significant experience in business and financial management, as well as extensive transactional experience in the Asia markets where Cirrus expects significant revenue growth.

Overly has a master of laws degree in international and comparative law from Georgetown University. He received his juris doctorate from Stetson University College of Law, his master's of public administration from Pennsylvania State University, and his bachelor’s degree in political science from Gettysburg College.
