Cirrus Logic to Spin off PC Graphics Software Business to ISDCorp, Providing Continuous Support for PC OEM Customers

Cirrus Logic and ISDCorp Agree to Transfer PC Graphics Software Team and Customer Support

FREMONT, Calif. -- Oct. 13, 1998 -- Underscoring a commitment to high quality customer service and software support, Cirrus Logic Inc. (NASDAQ:CRUS) and Integrated Software & Devices Corporation (ISDCorp) today announced an agreement through which ISDCorp will provide ongoing software support to Cirrus Logic PC graphics chip customers.

The agreement calls for ISDCorp to redeploy all members of the Cirrus Logic's PC graphics software group, organizing that team as a separate division within the company. To facilitate a seamless transition for PC OEMs and add-in card manufacturers, Cirrus Logic and ISDCorp will work closely to ensure the successful transfer of existing customer relationships and support agreements to ISDCorp., along with development and support of software drivers and firmware.

"As we intensify our focus on precision linear and advanced mixed-signal solutions, we are fully committed to providing continuous software support and a seamless transition for our graphics customers," stated Arthur Swift, vice president and general manager, Cirrus Logic's PC Products Division. To ensure the best ongoing PC graphics driver support, Cirrus Logic surveyed software outsourcing options, selecting ISDCorp to acquire and support its PC Graphics software business. "Under the leadership of Reza Soliman-Noori, ISDCorp has established a reputation for outstanding software quality and support. Cirrus Logic embraces the opportunity for ISDCorp to acquire our graphics software business -- we have great confidence that they will provide a superb level of service for our customers," he concluded.

"Acquiring Cirrus Logic's PC Graphics software business is critical to our strategy of maintaining a leadership position in systems software, and enables us to provide a more comprehensive solution to the marketplace," stated Reza Soliman-Noori, president and CEO of ISDCorp. "This acquisition complements our traditional strength in drivers, firmware and embedded software, expanding our portfolio with the high performance 2D and 3D driver development and certification testing of an industry leader," he observed.

Quality Software is Key to Hardware Success

Both Cirrus Logic and ISDCorp share a commitment to responsive customer support and high quality software development. The two companies expect an especially compatible business partnership. "I was very pleased with the team ISDCorp assembled for the projects we previously outsourced to them," remarked Swift. "The expertise of their staff, along with their new code and driver support for new technologies, such as USB, IEEE 1394 and PCI, makes ISDCorp a solid business partner," he added.

The transfer of PC graphics software expertise from Cirrus Logic will enable ISDCorp to offer its customers a more comprehensive solution to their system software development needs, including critical expertise in Microsoft WHQL certification. "Cirrus Logic has historically provided some of the best software support in the graphics industry," stated Jon Peddie, publisher of the well-known multimedia publication, The Peddie Report. "It's a real coup for ISDCorp to hire this team," he continued.
