AUSTIN, Tex. – August 7, 2001 – Cirrus Logic Inc. (NASDAQ: CRUS) today announced that William D. Sherman has joined its board of directors. A senior partner with the law firm of Morrison & Foerster, LLP, in Palo Alto, Calif., Mr. Sherman specializes in corporate and corporate securities practice. He has acted as counsel for both underwriters and companies in connection with more than 200 public offerings.

A graduate of Phillips Academy in Andover, Massachusetts, Mr. Sherman received his B.A. degree from Princeton University in 1964. From 1964 to 1969, he served on active duty as a commissioned officer in the U.S. Air Force. In 1972, he received his M.B.A. degree from the Haas School of Business and his J.D. degree from Boalt Hall, both at the University of California at Berkeley.

He has been a member of the Federal Regulation of Securities Committee and the State Regulation of Securities Committee of the American Bar Association’s Section of Business Law. He was a charter member of the Young Lawyers’ Federal Securities Law Committee, and has served as the Chair of the Corporations Committee of the Barrister’s Club of the Bar Association of San Francisco. He is a lecturer in the Haas School of Business at the University of California at Berkeley and a member of the National Advisory Board of the SEC Institute. He regularly lectures on panels designed for lawyers and business people interested in practical solutions for business, accounting and legal issues.
