AUSTIN, Texas-- May 3, 2000-- Cirrus Logic Inc. (NASDAQ:CRUS)
today disclosed that it has signed a definitive agreement with Creative Technology Ltd. and Vertex Technology Fund (II) Ltd. to form eMicro Corporation, a fabless joint manufacturing venture based in Singapore. Under terms of the agreement, eMicro will become licensee of Cirrus Logic's proprietary circuits -- and a strategic supplier of audio codecs and other mixed-signal chip solutions to Creative Technology.
The new venture joins three industry powerhouses: Cirrus Logic, the worldwide leader in mixed-signal integrated circuits (ICs) for consumer, computer and professional audio applications; Creative Technology, the worldwide leader in PC audio products with its popular SoundBlaster(TM) line; and Vertex Management, a key driver of high-tech growth in Singapore.
``We expect eMicro to rapidly develop a substantial revenue stream, based on cost-effective proximity to Creative and other Asian customers, leveraging the leadership audio technologies of both Cirrus and Creative,'' said David D. French, president and chief executive officer of Cirrus Logic. He confirmed that Singapore-based eMicro would be managed as a privately held entrepreneurial venture with the opportunity to become a publicly held company. No other terms of the joint venture agreement were disclosed.
Sim Wong Hoo, chairman and chief executive officer of Creative Technology, sees his firm's investment in eMicro ensuring a local and timely access to the advanced chip development capabilities required to meet the demand for increasingly sophisticated consumer electronics products. ``The formation of eMicro not only puts in place Singapore-based semiconductor engineering talent to support our system developers in the region, but it also creates an opportunity for synergy with Cirrus Logic, the technology and market leader in mixed-signal ICs.''
With headquarters, engineering, marketing, and administrative staffs based in the heart of Singapore's high-technology sector, eMicro expects to achieve competitive advantages by drawing from the IC design talent in Singapore and working closely with system developers in Asia as well as with the world-class foundries in the region. Specializing in mixed-signal chip solutions, eMicro will produce chips not only based on Cirrus Logic's technologies but also on intellectual property it expects to create over time. Thanks to the authorized use of Cirrus Logic's audio codec technology, which has been successfully defended in recent patent litigation, eMicro is moving quickly to market with its audio codec family.
According to the joint venture partners, eMicro will initially lease facilities, adjacent to Creative Technology's worldwide headquarters in the Creative Resource building in Singapore's International Business Park. Now actively recruiting to fill top management positions for president/CEO and CFO, the new venture has already recruited an R&D staff about 15 persons. Until a president/CEO is appointed, David Klein, Cirrus Logic's vice president of business development, will serve in this role on an interim basis. Also working with eMicro on an interim basis is H.G. Tan, vice president of Creative Technology, who is focused on recruiting top technical talent for the new venture.
